Application To Use NXP Semiconductors USB-IF Vendor Identification Number

The USB Implementers Forum ("USB-IF") has assigned USB Vendor Identification number 0x1FC9 ("VID") to NXP Semiconductors ("NXP"). Subject to the following terms and conditions and USB-IF's approval, NXP may, in its sole discretion, sublicense the use of its VID and one or more Product Identification numbers ("PID") to the Company identified below submitting this sublicense application (referred to hereinafter as "You", "Your" or "Sublicensee"), free of charge, for the limited purposes set forth below.

  1. If NXP accepts Your sublicense application, You will receive NXP's notice of acceptance and the assigned PID by separate communication. The Sublicense shall become effective on the date that NXP sends its notice of acceptance to You and is subject to all of these terms and conditions. You may not use NXP's VID or the PID until You receive NXP's notice of acceptance. The NXP VID must be used together with the assigned PID.
  2. NXP's VID and the PID may be used by Sublicensee: (a) for internal development purposes; and (b) during initial production of Your product, which shall not exceed 10,000 units of your product. Once production exceeds the limit of 10,000 units, then the Sublicense shall automatically terminate (unless terminated earlier). You will be responsible for obtaining your own Vendor Identification number from USB-IF.
  3. NXP reserves the right to discontinue offering this Sublicense at any time, to not accept any particular sublicense application, and to limit the number of recipients. The Sublicense is revocable and may not be assigned, transferred or sublicensed by You, and the Sublicense shall terminate upon any such attempted assignment, transfer or sublicense.
  4. THE VID, PID AND ANY OTHER INFORMATION PROVIDED TO SUBLICENSEE HEREUNDER IS PROVIDED "AS IS" AND WITHOUT ANY WARRANTY OF ANY KIND. NXP HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL NXP OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, PUNITIVE, SPECIAL OR INCIDENTAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS, PROFITS, CONTRACT OR DATA) RESULTING FROM, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE THE VID OR PID, THIS APPLICATION OR SUBLICENSE, EVEN IF NXP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  5. The Sublicense shall terminate upon the earlier of: (a) notification of termination by either party; (b) the date in which You have exceeded the limit of 10,000 units described in Section 2 above; or (c) any attempted assignment, transfer or sublicense in violation of Section 3 above. You must discontinue use of the VID and PID immediately upon termination.
  6. No other rights or licenses are conferred or granted hereunder, except those expressly set forth herein. You agree that this Sublicense shall be governed by and construed in accordance with the laws of the State of California, without regard to its principles of conflict of laws, and that the courts in the State of California shall have exclusive jurisdiction for any claim or cause of action arising out of or related to this Sublicense and/or the application.
